These Semrush Artificial Intelligence Services Terms (“AI Terms”) apply with respect to your use of Semrush Services containing artificial intelligence functionality (“AI Services”), as hereinafter defined, and form part of the Semrush Terms of Service available at https://sem.vipacademictools.com/company/legal/terms-of-service/ (“Semrush Terms of Service”). By registering for, accessing or using AI Services, you acknowledge that you have read, understood, and agree to be bound by these AI Terms. Capitalized terms not defined herein shall have the meanings assigned to them in the Semrush Terms of Service. In the event of any conflict between these AI Terms and the Semrush Terms of Service, these AI Terms shall prevail solely with respect to AI Services.

1. DEFINITIONS

   “AI Services” - means those Semrush Services which contain or consist of artificial intelligence functionality which allows Users to generate, create, analyze, edit and distribute content.

   “Content Provided by Semrush” - means the content provided by Semrush as the result of using AI Services.

   “User Content” - has the meaning provided in https://sem.vipacademictools.com/company/legal/content-policy/.

2. AI SERVICES SPECIFICS

   Semrush Rights to User Content. As part of use of AI Services you may provide information, data or request to be processed by AI Services and receive output generated and returned by AI Services. You are solely responsible for the development, distribution, operation, maintenance, and use of User Content and/or Content Provided by Semrush. You acknowledge that due to the nature of machine learning and the technology powering AI Services, Content Provided by Semrush may not be unique and AI Services may generate the same or similar output to you or other users.
   Solely to enable us to provide AI Services to you and improve our AI Services, you give us the right to use, store, modify, edit, delete, transfer your Content to third party artificial intelligence providers, store, publish and make it available at resources designated by you.

   Your Rights to the Content Provided by Semrush. We grant you a worldwide, non-exclusive, prepaid, perpetual license to use, store, edit, delete, publish, and make available to third parties the Content Provided by Semrush. Please note that these rights might also be subject to applicable third party artificial intelligence provider terms and such rights granted to you to the extent Semrush has, including, but not limited to Stable Diffusion terms and conditions and Open AI terms and conditions.

   Your compliance with third party requirements. You acknowledge and agree that you will comply with applicable third party artificial intelligence provider’s terms and conditions, including but not limited to Stable Diffusion terms and conditions and Open AI terms and conditions.

   Restrictions. You agree to comply with the Semrush Content Policy at https://sem.vipacademictools.com/company/legal/content-policy/. You will not use AI Services for fully-automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation; to provide medical advice and medical results interpretation; or to generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use).

   Privacy. Our AI Services are not intended to collect personal data from you and you must not include personal data in any User Content that is passed through our AI Services, unless you comply with all data protection and privacy laws and regulations applicable to the personal information, including providing privacy notices and obtaining consent, where required. Semrush will process any personal data provided by you for registration for the AI Services (e.g., when creating an account), in accordance with our Privacy Policy.

   WITHOUT PREJUDICE TO THE WARRANTY DISCLAIMER AND THE LIMITATION OF LIABILITY SET FORTH IN ARTICLE 8 OF THE SEMRUSH TERMS OF SERVICE, AND EXCEPT WHERE PROHIBITED BY LAW, CONTENT SHAKE AI, SEO WRITING ASSISTANCE AND THE CONTENT PROVIDED BY SEMRUSH ARE PROVIDED “AS-IS” AND “AS AVAILABLE” AND WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, UNIQUENESS AND NON-INFRINGEMENT.
